Any natural person who lives in Singapore and is a citizen, permanent resident or otherwise meets the local residency rules can be a secretary of a private company, as long as they are not the sole director. A public company has stricter tests. The appointment is due within six months of registration.
Checked against ACRA's secretary guidance. Statute wording was read from secondary sources, see the note below.
What does ACRA require of a secretary?
ACRA sets three tests for the person you appoint.
- A real person, not a company.
- A Singapore citizen, Singapore permanent resident, or someone who meets the local residency rules.
- Not the same person as the sole director.
The Companies Act wording, as quoted by a statute mirror we read, requires a natural person whose principal or only place of residence is in Singapore. It also bars a sole director from being the secretary and says the office must not be vacant for more than six months at a time. Singapore Statutes Online refused automated access, so confirm section 171 there before relying on the exact words.
Is there a licence or exam for a private company secretary?
ACRA's rules for a private company list no professional qualification. A person who meets the residency tests and consents to act can be appointed. What the law does not require, the work still demands: the secretary files with ACRA, keeps registers and watches deadlines. See what a corporate secretary does.
What extra tests apply to a public company?
The Companies Regulations add conditions. The search result for the regulations on Singapore Statutes Online shows one route: at least 3 years in the 5 years before appointment as a secretary. Secondary sources list further routes, such as being a qualified person under the Legal Profession Act or a registered public accountant. Because we could not open the statute page, treat these as pointers and check the current text on SSO.
| Company | Secretary rule |
|---|---|
| Private company | Person and residency tests only |
| Public company | Same tests, plus an experience or professional route |
| Listed company | Public company rules plus the listing rules and governance code |
For the governance side of listed companies, see the corporate governance code guide.
When must you appoint one?
Within six months of registration. ACRA warns that the position cannot be left empty for more than six months, and the director can face a fine of up to S$1,000 if it is. Many founders forget the deadline because the company works fine without a secretary at first. Set a reminder at registration.
If the secretary leaves, appoint a replacement within the same six-month limit and file the change on Bizfile within 14 days. Our change company secretary guide has the steps.
Can a director also be the secretary?
If the company has two or more directors, one can also be the secretary. The sole director rule stops a one-person board from doing both. A one-person company therefore needs a second person: a family member, a trusted colleague who lives in Singapore or a provider's licensed secretary. Our director requirements page covers who may be a director.
Can a foreigner or a company be the secretary?
A company cannot, because the secretary must be a real person. A foreigner can only if they meet the residency rules, so a foreign owner living abroad generally cannot hold the office. That is why many non-resident founders use a corporate service provider's secretary. See the corporate secretary guide for how that works and the cheapest secretary comparison for published prices.
What should you look for in a secretary?
The law sets the minimum. In practice, ask these questions: Is the person resident and reachable? Do they keep the electronic registers current? Will they file within the 14-day window? Do they track the annual return and the registrable controllers register? A good answer to each matters more than a certificate on the wall. These are our practical suggestions, not ACRA rules.
What if you pick wrong?
You can replace a secretary at any time by filing the change. The risk is a gap: do not terminate one secretary until the next has consented and the filing is ready.
