A Singapore company has one fixed government fee each year: S$60 for the ACRA annual return. The rest is what you pay others to keep you compliant. From the provider prices we could read, a lean company spends S$1,471 to S$3,541 a year on a secretary, a registered address and accounting. Audit, payroll and work passes are extra. Prices were read on and are list prices, not quotes.

What are the official yearly fees?

Item Amount Source
ACRA annual return S$60 ACRA fee table
Extension to file accounts or hold an AGM S$200 ACRA fee table
Late annual return Penalty up to S$600 ACRA deadline page

A non-listed company files the annual return within seven months after its financial year end. Companies with share capital and an overseas branch register get eight months. Dormant companies must still file. See annual return and AGM for the steps.

IRAS corporate income tax and GST also apply, but they depend on profit and turnover. We list no tax rate here. For the rules see corporate tax and GST registration.

What do providers charge for the yearly basics?

These are prices providers publish on their own pages, read on the date above. Different providers cover different things, so do not read the table as a like-for-like comparison.

Service Provider and plan Published price
Company secretary, includes the S$60 ACRA fee Leftright, Essential S$328 a year
Company secretary, includes the S$60 ACRA fee Leftright, Suite S$568 a year
Corporate secretarial plans HeySara: Digital, Plus, Prime S$199, S$598, S$998 a year, with annual return filing charged extra at S$200 (Digital) or S$60 (Plus, Prime)
Registered office address Leftright S$245 a year, billed separately

Osome says its plans include unlimited bookkeeping, unaudited financial statements, the estimated chargeable income filing and the Form C-S or C return. Its GST return filing is listed at S$1,200 a year and payroll at S$350 per employee a year. Sources are listed below. See also accounting services, cheapest company secretary and registered address.

What does a lean year add up to?

We added three published list prices. This is our sum, not a quote, and it mixes two providers.

Scenario Parts Total
Lean Leftright Essential S$328, address S$245, Osome Operate S$898 S$1,471
Fuller Leftright Suite S$568, address S$245, Osome Scale S$2,728 S$3,541

Neither total includes an audit, a nominee director, bank fees, GST, payroll or income tax.

When do you also pay for an audit?

If the company does not qualify for the audit exemption. ACRA says a private company is exempt when it meets at least two of three tests over the past two consecutive years: revenue of S$10 million or less, total assets of S$10 million or less, and 50 employees or fewer. Public companies and guarantee companies are not private, so plan for an audit. Exempt companies still prepare and file financial statements. TNPL lists audit services from S$1,500, with no scope shown, so treat that as a lower mark. See audit exemption.

What do staff and work passes cost?

Hiring adds costs beyond the company basics.

  • Employment Pass: MOM charges S$105 to apply and S$225 for each pass issued, S$330 in total. A further S$30 visa fee applies in some cases.
  • S Pass: S$105 to apply and S$100 for each pass issued. We did not read the S Pass levy, so we leave it out.
  • Skills Development Levy: The CPF Board sets it at 0.25% of monthly total wages, with a minimum of S$2 and a maximum of S$11.25 per employee, and it covers foreign employees.

CPF contributions for citizens and permanent residents are separate. See CPF for employers, Employment Pass and S Pass.

How can you lower the yearly bill?

Pick a plan that matches your volume of transactions. A company with a handful of invoices does not need the top plan. Ask each provider whether the S$60 is inside the price, because Leftright includes it and HeySara's Digital plan charges more for the annual return. Compare what the audit would cost if you are near the exemption limits. If the company has no purpose, striking it off stops the yearly cost.
