If you live in Canada, you can register and fully own a Singapore private company. A registered corporate service provider (CSP) must submit the filing to ACRA, and one director must be ordinarily resident in Singapore. ACRA charges S$15 for the name and S$300 for registration. Canada also has a full tax treaty with Singapore that includes an arbitration clause. Checked . SingaporeCompanySetupGuide.com is an independent guide. We are not ACRA, IRAS or a provider, and the form on this page passes your request to providers who may pay us for the referral.
What does a Canadian founder need to check first?
| Question | Canada result | Who says so |
|---|---|---|
| Ownership by a non-resident | Allowed, with a resident director | ACRA |
| Entry visa for a visit | Not on the visa-required list | ICA |
| Tax treaty | Full DTA, in force, MLI, arbitration | IRAS |
| Apostille | In force for Canada, dates below | HCCH |
| Filing route | Registered CSP only | ACRA |
Is there a tax treaty between Canada and Singapore?
Yes. IRAS publishes a table of Singapore's agreements. The Canada row is a full DTA with four marks: in force, modified by the MLI, and containing an arbitration provision. The Multilateral Instrument is the OECD tool that updates older treaties for anti-abuse rules, and the arbitration clause gives the two tax authorities a binding way to settle a dispute over how the treaty applies to you.
IRAS does not print withholding rates on that list. The treaty PDF is the source for dividend, interest and royalty articles. We have not read the Canadian side of the treaty for this page, so a Canadian accountant should confirm how a Singapore company's profits and your own dividends are taxed at home. For the Singapore side, see corporate tax in Singapore.
Do Canadians need a visa to visit Singapore?
No visa is needed to enter. The ICA page lists 34 countries whose passport holders do need one, and Canada is not in that list. ICA still wants an SG Arrival Card within 3 days before arrival, and it says a visa never guarantees entry on its own.
A visit pass does not let you work. If you plan to move and run the company day to day, you need a pass such as the Employment Pass or the EntrePass. The MOM rules for those are separate from company registration.
Do Canadian documents need an apostille?
Only if a provider or bank asks for certified copies. ACRA's foreigner page sets no certification rule of its own. When one is requested, the Apostille Convention is the route. It has covered Canada since , with the accession lodged on . Singapore joined on .
HCCH names these Canadian competent authorities:
- Global Affairs Canada, through its Authentication Services Section in Ottawa.
- The ministries responsible in British Columbia, Alberta, Saskatchewan, Ontario and Quebec.
Provincial documents usually go to their province, but each department sets its own intake rules, so read its page before you send anything.
Can you run it from Canada?
Ownership does not depend on where you live. The board does: ACRA requires one director who lives in Singapore. Canadian founders usually either name a trusted local partner or use a nominee. The nominee director guide explains what a nominee signs and what stays with you.
You also need a company secretary and a local registered office. The CSP typically supplies both as part of its package, but fees are the provider's own and we only quote one if it is published.
What are the steps from Canada?
- Pick a CSP and give it three name options, the business activity and each shareholder's details.
- The CSP files the name application on Bizfile for S$15.
- Send a passport copy and address proof for every officer.
- The CSP files the incorporation for S$300.
- ACRA issues the UEN and certificate. Then you open a bank account, see business bank account in Singapore.
Time zones are a practical issue, so ask the provider how it handles signing and bank calls across the gap. The overall fee picture is in company formation cost.
Which official limits should you not overlook?
Two items stay outside this page. One is how Canadian tax law treats a company you own in Singapore, which we did not verify on an official CRA page. The other is whether a bank will accept a non-resident owner: banks set their own rules and we found no published Canada-specific policy. Ask each bank and keep the answer in writing.
Ready to get quotes? Send the form with your province and the shareholder names, and providers can reply with what they need from you.
