Dutch residents can set up a Singapore company and keep every share. The filing goes through an ACRA-registered corporate service provider (CSP), a Singapore-resident director must sit on the board, and ACRA's charges are S$15 for the name and S$300 to register. The treaty between the Netherlands and Singapore is one of the older ones on the IRAS list, concluded on , and it now carries MLI changes plus an arbitration arrangement. Checked . We are a guide that earns from partner referrals, not ACRA, IRAS or a provider, and the form forwards your request to providers.

| Dividends | Dutch tax capped at 15% | Treaty Article 10 |

What does the Netherlands and Singapore treaty cover?
IRAS publishes the convention on income and on capital. It was concluded on , entered into force on and has effect from . Both countries ratified the Multilateral Instrument, and the Singapore order applying it to this treaty entered into force on .
The Dutch case stands out for arbitration. On the two competent authorities signed an arrangement fixing how arbitration under Part VI of the MLI works between them. If they cannot settle a treaty dispute by mutual agreement, an agreed process now exists. For a small new company this is a distant safeguard, but it is in the published text.
What does Article 10 say about dividends?
Dutch tax on a dividend paid by a Dutch company to a Singapore resident cannot exceed 15% of the gross amount. If the recipient is a company holding at least 25% of the payer's capital, the Netherlands does not tax the dividend at all. Going the other way, a dividend from a Singapore company to a Dutch resident is exempt from any Singapore tax on dividends charged on top of the company's own tax.
This matters most when a Dutch company, rather than you personally, will own the Singapore shares. Branch vs subsidiary helps you choose between a separate company and a branch. We read no Dutch government page on reporting a foreign holding, so we say nothing on Dutch reporting. Ask a Dutch tax adviser.
Do Dutch citizens need a visa for Singapore?
The ICA visa-required list does not name the Netherlands. ICA says a visa is no promise of entry and that every traveller completes the SG Arrival Card inside the 3 days before arrival. Visiting is not working. A founder who will work in the company applies for a pass instead: see Employment Pass.
Can I own the company from the Netherlands?
Yes. Nothing in ACRA's rules ties ownership to your home address. What it asks for is a CSP to file and at least one director ordinarily resident in Singapore, which a local partner or a nominee director can supply. A company secretary and a local registered office are also part of the setup. Once sales pass a set amount you may need to register for GST, and GST registration in Singapore covers the trigger.
Do Dutch documents need an apostille?
ACRA's foreigner rules set no certification step. Where a provider wants certified papers, note that the Apostille Convention has applied to the Netherlands since and to Singapore since . An apostille is the formal route for Dutch public documents. Ask the provider whether it wants one at all.
What does the filing involve in practice?
The CSP reserves your name on Bizfile for S$15 and files the registration for S$300. It collects passport and address proof from each officer. Approval tends to follow soon after payment, while complex filings can take up to 15 working days. The UEN then lets you open a bank account and file pass applications. ACRA's S$315 is the government part only, and company formation cost shows how to set provider quotes side by side.
If you would rather hand over the paperwork, send the quote form here and say you are in the Netherlands.
