A Nigerian citizen can hold every share of a Singapore private company. What you cannot do is file the paperwork yourself, because ACRA wants foreigners to go through a registered corporate service provider (CSP) and wants one director who lives in Singapore. The ACRA fees are S$15 for the name and S$300 to register: S$315. Checked . Our guide, SingaporeCompanySetupGuide.com, is independent of government and of providers. Partners pay it for referrals, and the form hands your details to those that look like a fit.
What should a Nigerian founder check first?
Start with the visa, then the paper trail, since Nigeria sits outside the apostille table. The general process is in register a company as a foreigner.
| Topic | Position for Nigeria | Source |
|---|---|---|
| Filing | A registered provider submits; a director who lives in Singapore | ACRA |
| Entry visa | Required for Nigerian passports | ICA |
| Tax treaty | Full DTA in force, not modified by the MLI | IRAS |
| Apostille | Nigeria not in the status table | HCCH |
| Nigerian rules on holding a foreign company | Not found on an official page | None |
What does ICA ask from a Nigerian visitor?
ICA's Nigeria page says you need a visa if you hold a travel document from the country. Diplomatic, official and service passports are exempt. For business or social visits you submit Form 14A, a recent photo, and a copy of the biodata page of a passport valid for at least six months from entry. You also need Form V39A, the letter of introduction, which can come from a local contact. ICA advises you to apply within 30 days before arrival. Original documents and official translations are required if papers are not in English.
You can apply in three ways: a local contact with a Singpass account, an authorised visa agent or a Singapore overseas mission. The fee is S$30, non-refundable, paid by Visa or MasterCard online. ICA says processing takes three working days, excluding the day of submission, and some cases take longer. Approval does not guarantee entry. Submit the SG Arrival Card in the 3 days before you land.
Is there a tax treaty between Nigeria and Singapore?
On the IRAS list, Nigeria has a full double tax treaty that is in force. The Multilateral Instrument has not changed it and it carries no arbitration clause. Our source does not give withholding rates, so we do not either. IRAS links the treaty PDF, which is where the dividend, interest and royalty rules are written down. Singapore's treatment of company profit is in corporate tax in Singapore.
What happens to Nigerian documents without an apostille?
The HCCH table lists the states party to the Apostille Convention. We searched it for Nigeria and found no entry, while Singapore's own entry reads . So a stamp from Nigeria's ministry is not the established route in our source. We found no ACRA rule that tells foreigners to authenticate documents, and providers set their own checks. Ask yours what it will accept for a passport copy, proof of address or a corporate shareholder's certificate, and get the answer in writing.
What about Nigerian exchange and company rules?
We did not find an official Nigerian page that sets a rule on a resident individual owning a Singapore company so we leave the topic out rather than guess. Speak to your Nigerian bank and a local adviser about how to pay the provider and the share capital.
How do you meet the resident director rule?
Every Singapore company needs a director who lives there. For a Nigerian owner this is often a business partner already in the country, or a nominee supplied by the provider for an annual fee. Nominee director in Singapore explains what a nominee signs and where the risk sits.
What does the process look like?
- Choose a CSP and send the proposed name and your business activity.
- The provider reserves the name for S$15.
- You send scanned passport and address documents for each officer and shareholder.
- The provider files the registration and pays S$300.
- The UEN comes back and you can approach banks. See business bank account in Singapore.
