A South African resident can own all the shares of a Singapore private company. Two things shape the plan: ACRA requires a registered corporate service provider (CSP) to file for foreigners and one director must live in Singapore, and the South African Reserve Bank (SARB) controls how much money an individual can send abroad. ACRA's fees are S$15 for the name and S$300 to register, S$315 in total. Checked . We run SingaporeCompanySetupGuide.com as a plain guide. We are neither a regulator nor a provider, and we pass enquiries from the form to providers that suit them.
What is specific to South Africa?
The money rules are the main difference. The visa position is easy and the treaty is in force. For the basic route, read register a company as a foreigner.
| Topic | Position for South Africa | Source |
|---|---|---|
| Filing | Provider files for you; a Singapore-resident director | ACRA |
| Entry visa | South Africa is not on ICA's visa-required list | ICA |
| Tax treaty | Full DTA in force, modified by the MLI | IRAS |
| Apostille | In force for South Africa from | HCCH |
| Money abroad | Foreign capital allowance of R10 million a year via an AIT | SARB |
How much can a South African invest abroad?
SARB's Currency and Exchanges Manual for Authorised Dealers, dated , says an authorised dealer may allow a foreign capital allowance, through an approval for international transfer (AIT), of up to R10 million per calendar year per private individual. The person must be a taxpayer in good standing and aged 18 or older, and the transfer is for investment purposes abroad. SARB's individuals guideline, dated , also asks for a tax compliance status PIN from SARS for this allowance.
The single discretionary allowance is where the two SARB documents part ways. The guideline says R1 million per calendar year. The dealers manual mentions R2 million in its description of one category of dealer. We cannot say which one your bank will apply, so we show both. Ask your authorised dealer before you send anything, and keep the SARS and bank paperwork for the payment to your provider and the share capital.
Anything beyond the allowances needs SARB's Financial Surveillance Department. The guideline says it will consider applications from private individuals, passed through an authorised dealer.
Do South Africans need a visa for Singapore?
On the ICA guidelines page, South Africa is not among the countries whose passport holders must hold an entry visa. That is the status of the published list, not a guarantee of entry. Remember the SG Arrival Card, which has to be filed within 3 days of arriving. Visiting does not allow you to work, so a founder drawing a salary needs a pass: see Employment Pass and EntrePass.
What does the South Africa and Singapore tax treaty say?
The IRAS list carries a full double tax treaty with South Africa. It is in force, the Multilateral Instrument has changed it, and there is no arbitration clause. IRAS does not show withholding rates on that page, so we give none. The treaty PDF on IRAS has the detail. For the Singapore side of profit tax, see corporate tax in Singapore. If you plan a Singapore parent for African operations, Singapore holding company covers the structure.
Can South African documents carry an apostille?
Yes in principle. HCCH records South Africa's accession on , in force from , and Singapore's entry is . A South African certificate, such as one for a corporate shareholder, can therefore be apostilled. We found no ACRA rule requiring it. Your provider sets its own list.
Who can act as resident director?
The company must have one director on the ground in Singapore. South African owners with no local partner tend to hire a nominee. If that is you, read nominee director in Singapore before you agree to terms, since the nominee carries legal duties.
