Switzerland and Singapore have a full tax treaty that cuts the dividend cap to 5% for a company holding at least 10%. Swiss passports are not on the ICA visa list either. A Swiss resident can therefore hold a Singapore company outright, as long as an ACRA-registered corporate service provider (CSP) files it and a Singapore-resident director joins the board. ACRA charges S$15 for the name and S$300 for registration. Checked . This is a guide funded by partner referrals. It does not speak for ACRA, IRAS or any provider, and the form passes your details on to providers.

What does the Switzerland and Singapore treaty say?

IRAS publishes the agreement on taxes on income. It was concluded on , entered into force on and has effect from . IRAS keeps the earlier convention of in an annex. The IRAS text also holds a mutual agreement from May of the entry-into-force year that explains how to read one paragraph of the Protocol.

Article 10 is the part owners need. The country of the paying company may tax a dividend up to 5% of the gross amount when the beneficial owner is a company, not a partnership, that holds directly at least 10% of the payer's capital. Everyone else faces a cap of 15%. The article also frees certain public bodies from tax, which is of no use to a private founder. For Singapore's own rules see corporate tax in Singapore.

Does the MLI change the Swiss treaty?

Singapore notified 86 treaties under the Multilateral Instrument and Switzerland is among them. IRAS explains that each treaty changes only when the partner applies the MLI as well. The IRAS file for Switzerland that we read has no MLI note, unlike the files for several other countries. We therefore make no claim about MLI changes for this pair. Check the current IRAS list before you rely on a rate.

Do Swiss citizens need a visa for Singapore?

The ICA list of travel documents that need an entry visa does not include Switzerland. ICA stresses that a visa never guarantees entry, and it asks each traveller to complete the SG Arrival Card inside the 3 days before arrival. A short stay does not cover work. If you will manage the company, Employment Pass is the main route.

Can I own it from Switzerland?

Yes, ownership has no residence test. Board seats do: ACRA wants one director who is ordinarily resident in Singapore, and a CSP for the filing. Swiss founders often use a local partner or a nominee director for that seat. If the company will hold shares in other firms, Singapore holding company covers what that involves.

We found no official Swiss page on reporting a foreign shareholding, so Swiss reporting is left out. If you are weighing Singapore as a low-tax base, offshore company in Singapore explains what that word means here.

Do Swiss documents need an apostille?

ACRA's foreigner rules list no certification step. If your provider asks for certified papers, the Apostille Convention has applied to Switzerland since and to Singapore since . An apostille is the formal route for a Swiss public document. Ask the provider whether it needs one.

What follows the filing?

Filings are often approved soon after payment. Complex ones can take up to 15 working days. Once the CSP hands you the UEN you can arrange the account: business bank account in Singapore shows what to prepare. No bank has published a rule for Swiss applicants that we could find, so each bank's own checklist is the thing to ask for.

To have a provider do the filing, send the quote form and mention Switzerland.

Is the Swiss treaty changed by the MLI?

Switzerland is on the list of 86 treaties Singapore notified under the MLI. IRAS says each treaty changes only if the partner also applies it. The IRAS text we read carries no MLI note, so check the current list.

Can a Swiss resident be the only officer of a Singapore company?

No. ACRA requires at least one director living in Singapore, and a registered corporate service provider must file for a foreigner. A local partner or nominee director can fill that seat while you keep the shares.
