Thai residents can register a Singapore private company and hold all the shares. The filing must go through a corporate service provider (CSP) registered with ACRA, and one director must live in Singapore. ACRA's fees are S$15 for the name and S$300 for registration. What marks the Thai case is timing: the Apostille Convention is not yet in force for Thailand, and the HCCH table puts the start at . Checked . This is an independent guide, not a government body or a provider. The form passes your enquiry to providers, and they may pay us for referrals.
Which official facts apply to a Thai founder?
| Item | Thailand result | Body |
|---|---|---|
| Tax treaty | Full DTA in force, MLI applied, no arbitration | IRAS |
| Visit visa | Not on the visa-required list | ICA |
| Apostille | Accession lodged, not yet in force | HCCH |
| Apostille office | Department of Consular Affairs | HCCH |
| Local director | Required, one Singapore resident | ACRA |
What does the IRAS table show for Thailand?
The Thailand row is a full DTA. The in force column says Yes and the Multilateral Instrument column says Yes, so the treaty text is read together with the MLI changes. The arbitration column says No, which means a dispute between the tax authorities would follow the treaty's mutual agreement procedure without a binding arbitration step.
IRAS does not give rates on the list. Use the treaty PDF for the dividend article. We did not check Thai tax authority guidance for this page. A Thai tax adviser should say how profit from a Singapore company is taxed when it reaches you. For Singapore's side, read corporate tax in Singapore.
Is a visa required from Thailand?
No entry visa is needed. ICA's list names 34 countries whose passport holders need one, and Thailand is not among them. You still submit the SG Arrival Card within 3 days before you arrive. ICA says a visa does not guarantee entry, which applies the same way to visa-free visitors who are refused at the border.
What does the apostille date mean for you?
HCCH records Thailand's accession on with entry into force on . Singapore has been a party since . Between now and that date the convention does not apply to Thai public documents, so we cannot tell you that an apostille is the accepted route.
In practice, you may not need any of this. ACRA does not require certified documents for the filing, and a CSP typically checks identity itself. If a provider or bank does ask for certified copies, ask which method it takes today and put it in writing. After the start date HCCH shows the Department of Consular Affairs of the Ministry of Foreign Affairs as the competent authority. Its HCCH page was updated on and gives no fee.
Who runs the company if you are in Thailand?
You own it, and ACRA does not ask you to move. The board must include one person who lives in Singapore. Many foreign owners use a nominee, see nominee director in Singapore. The company also needs a secretary, covered in corporate secretary in Singapore, and a local registered office.
What are the steps from Thailand?
- Compare providers and pick one that will quote in writing.
- Send the proposed company names and what the business will do.
- Provide passports and proof of address for every officer. Ask whether certified copies are needed at all.
- Two ACRA payments follow: S$15 for the name, then S$300 to register.
- With the UEN in hand, apply for the bank account, see business bank account in Singapore.
ACRA's own estimate is that most applications are approved soon after payment and complex ones can take up to 15 working days.
What did we leave out?
Nothing is claimed about the Bank of Thailand or Thai tax filings, because we could not find an English official page that sets out those rules. Ask a Thai lawyer before you send funds. No bank has published a Thai-specific rule that we could read, so compare banks on their own pages.
How should you plan around the date?
If your timeline runs past the start date, ask providers to describe how they will handle Thai documents on both sides of it. If you cannot wait, ask whether identity checks can be done without certified paper. Check the HCCH table again before you order any certified document, since the status can be updated.
Use the form with your city and shareholder names, and providers can reply with what they need.
