Resident director in Singapore

A Singapore company must always have at least one director who is a local resident: a citizen, a permanent resident, or a valid Employment Pass, PEP or Overseas Networks and Expertise Pass holder.

Singapore law ties every company to a person on the ground. The rule is that at least one director must be ordinarily resident in Singapore. ACRA lists who qualifies: citizens, permanent residents and certain pass holders. This page was checked on .

What does the resident director rule say?

ACRA states that every business must have at least one local resident in Singapore, and the role that fills it differs by business type. For a company, it is a director. The Companies Act is the source of the rule, and this page relies on ACRA's wording of it.

Other directors may live anywhere. The rule asks for one, not all.

Who qualifies as a local resident?

Status Counts, per ACRA
Singapore citizen Yes
Singapore permanent resident Yes
Employment Pass holder Yes, valid pass; MOM Letter of Consent needed first
Personalised Employment Pass holder Yes, valid pass
Overseas Networks and Expertise Pass holder Yes, valid pass
Other Foreign Identification Number (FIN) holders Check with MOM or ICA before accepting
Foreigner abroad with no pass No

ACRA's eligibility page does not list the EntrePass in that table. MOM's own pages describe EntrePass holders as running their company, so read EntrePass and confirm with MOM before you rely on it.

What are your options as an overseas owner?

  1. Move to Singapore on a pass. If you get an Employment Pass or another qualifying pass, you can be the resident director yourself. See Employment Pass and Employment Pass for company directors.
  2. Appoint a partner, relative or senior hire who lives in Singapore. They carry the full legal duties, so pick someone who understands that.
  3. Use a nominee director from a provider. The provider's person sits on your board for a fee. ACRA treats nominee directors as fully responsible under the Companies Act and requires the nominee relationship to be recorded in registers. Read nominee director before you sign.

ACRA says foreigners must engage a corporate service provider to reserve a name and register a business structure. Our register a company as a foreigner page covers that.

What does the resident director carry?

The same duties as every other director: records, financial reports when needed, filings on time and acting in the company's best interests. ACRA says there are no sleeping or nominee-in-name-only directors in law, and penalties can reach a fine of S$5,000, two years in jail and a five year ban. A person who agrees to be a nominee should know that the legal risk does not shrink because someone else gives the instructions.

For the wider list of tests, see director requirements.

What if the resident director leaves or loses status?

ACRA says a director can resign only if the company constitution allows it and the company will still have at least one ordinarily resident director after the resignation. So plan the handover:

  • appoint the new resident director first;
  • file on Bizfile within 14 days of each change; and
  • update bank signatories separately.

A pass holder who leaves Singapore or loses the pass may stop counting as resident, so watch pass expiry dates. The steps to file are in change director.

What does it cost?

ACRA charges no fee to appoint or withdraw a director on Bizfile. A provider's nominee service is priced by the provider. We quote a provider price only if the provider publishes it, and we have none to quote here. Ask for the annual fee, any set-up fee, and what happens if you want to end the arrangement.

What should you ask a nominee provider?

  • Who exactly will be your director, and will they stay the same person?
  • What decisions do they expect to approve?
  • Do they get copies of the bank statements, and will they sign bank documents?
  • What happens to the arrangement if you sell the company?
  • How do they record the nominee relationship for ACRA's registers?

Those answers reveal how much control the provider keeps.

Questions people ask

Do I need a Singapore resident director?

Yes. ACRA says every business must have at least one local resident, and for a company that means a director who is a Singapore citizen, permanent resident or a holder of a qualifying pass. Directors elsewhere can sit on the same board.

Who counts as a resident director in Singapore?

ACRA names Singapore citizens, permanent residents, and valid holders of an Employment Pass, a Personalised Employment Pass or an Overseas Networks and Expertise Pass. FIN holders should check with MOM or ICA before accepting the role.

Can I be my company's resident director if I live overseas?

Not on residence alone. You need to be a citizen, permanent resident or a qualifying pass holder. Living abroad without one of these, you need a second director who qualifies.

Does an Employment Pass holder need permission to be a resident director?

MOM says Employment Pass holders need a Letter of Consent to take up a secondary directorship. ACRA also says EP holders must seek a Letter of Consent from MOM before accepting a director role.

What happens if the resident director leaves?

A director may resign only if the company still has at least one ordinarily resident director afterwards, according to ACRA. Appoint the replacement before the exit so the company is never without one.

Is a nominee director the only option for foreign owners?

No. Owners can move to Singapore on a suitable pass, appoint a resident partner or colleague, or use a nominee director from a corporate service provider. Each route carries duties and risk for the person appointed.
