MOM says an Employment Pass (EP) holder is allowed to own shares in a Singapore-registered company. That is where the clear answer stops. Taking a director role at another company needs a Letter of Consent, and running a business as your main activity calls for a pass built for it, such as the EntrePass.

Checked on MOM FAQs and pass pages. The FAQs carry update dates from to . This is an independent guide, not MOM, and not legal advice.

What can an EP holder do with a company?

Activity What MOM says
Own shares in a Singapore company Allowed
Be a director of another company Needs a Letter of Consent
Run your own business as the main work Not covered by the EP pages we read, so ask MOM
Be a sole proprietor or partner Not covered by the EP pages we read, so ask MOM

Shareholding is a passive position. Roles that involve managing a business raise a different question, which is why the second and third rows matter.

How does a secondary directorship work?

MOM's secondary directorship page says the employer who wants to appoint the EP holder to a board must apply for a Letter of Consent. MOM approves when:

  • the other company is related by shareholding to the EP holder's employer, and ACRA records show this
  • the directorship relates to the primary employment

The LOC lasts up to the expiry or cancellation date of the current EP, so a new one is needed after renewal. MOM says the application takes about 5 weeks. Unpaid charitable activities do not need it. Another MOM FAQ summary mentions assessment by a sector agency for unrelated companies, so the pages are not worded alike. Confirm with MOM. More on the form is in the Letter of Consent guide.

What about other passes?

Pass Business position, per MOM
S Pass Cannot be a director or sole-proprietor; end the job and apply for an EntrePass
Work Permit Cannot own or manage any business or register at ACRA as sole-proprietor, partner, director or secretary
Personalised Employment Pass No start-up or entrepreneurial work; use an EntrePass or ONE Pass instead
EntrePass MOM's pass for foreign entrepreneurs who want to start and operate a business
Dependant's Pass A Letter of Consent is available for business owners with at least 30% of the shares

For S Pass and Work Permit holders, MOM says a breach can mean pass revocation and an employment ban. The exception it names is a job title of "Secretary" without ACRA registration.

What if you want to run the company yourself?

There are three routes to compare.

  1. EntrePass. Built for founders, covered in the EntrePass guide.
  2. A second company role under an EP. If you are a director of the firm that employs you, read the company director guide to see how MOM treats it.
  3. ONE Pass. For top talent who meet the salary test. See ONE Pass.

Moving between passes means a new application. Plan the timing so that no gap opens in your right to work. Our work pass types overview lists the options side by side.

Why do people mix this up?

Two things get blurred. Owning shares is allowed. Working in or running the firm is a separate step that MOM treats under pass conditions. Many guides online give a blanket yes or no. MOM's own pages give a split answer, and for the EP they leave the main-business question open. That is why the table above says "ask MOM" in two places and does not guess.

Do you need a provider?

A corporate service provider can set up the company and advise on the pass. An immigration specialist can raise the question with MOM. If you want that, use the quote form on this page. We pass your request to suitable providers and may earn a referral fee. The rules above come from MOM, not from any provider.
