Resigning as a director in Singapore

A director resigns in writing, and the resignation counts only if the constitution is followed and one ordinarily resident director remains. The company then has 14 days to withdraw you on Bizfile.

A director in Singapore resigns by giving the company a written resignation. It is valid when the company constitution is followed and the company keeps at least one ordinarily resident director. The company then has 14 days to withdraw the director with ACRA on Bizfile, free of charge. Checked .

When is a director's resignation valid?

ACRA, the Accounting and Corporate Regulatory Authority, sets two tests. Both must be met:

  1. The resignation follows the company's constitution.
  2. At least one ordinarily resident director stays on the board.

If you fail the second test, the company has a problem and so do you. This is the main trap for foreign owners who run a company with a single local director. See resident director for who counts.

What goes in a resignation letter?

Keep it short. Include:

  • your full name and the company name and UEN
  • a clear statement that you resign as director
  • the date the resignation takes effect
  • your signature and the date you sign

Send it so you can prove delivery, such as a signed receipt or an email with a read confirmation to a company address. ACRA asks for proof of receipt if you later file yourself. A board decision to accept is common practice, and a short board resolution records it, but your letter is what ends your role.

How does ACRA find out?

The company files. Another authorised position holder withdraws you on Bizfile under Appoint or Withdraw position holder within 14 days. You cannot withdraw yourself on that screen. The step-by-step is in change a director.

Step Who Fee Time
Withdraw the director Company Free Within 14 days of the resignation
Notice of cessation The resigning director Free Immediate, or up to 20 working days

What if the company ignores your resignation?

File a notice of cessation yourself through Bizfile with Singpass. ACRA asks for a copy of your resignation letter, evidence the company received it, and evidence that you tried to contact the officers. If it is not approved at once, ACRA says it will process the notice within 20 working days and tell you if it needs more time. File one notice for each company.

What if you are the only resident director?

This is the hard case. The resignation test says another resident director must stay, so you cannot simply leave. In a parliamentary reply on the Ministry of Finance said ACRA is still consulting on a dedicated resignation route for sole resident directors who cannot find replacements. For now the options it names are a court winding up application, or a strike off for a company that is not carrying on business. Read winding up and strike off for the conditions. A professional nominee director is another way to fill the seat, with the duties that come with it.

What should you do after you resign?

  • Check the ACRA record through the ACRA business profile and confirm your name is gone.
  • Ask the company to remove you from the bank mandate.
  • Keep a copy of the letter, the proof of delivery and the filing receipt.
  • If you were also the company secretary, that is a separate role, see change company secretary.

What should the company do when it gets your letter?

The board should note the resignation, ideally in a short board resolution, and then file the withdrawal on Bizfile within 14 days. It should also update its own register of directors, see register of directors. If the resignation would leave no resident director, the company should appoint a replacement first, otherwise the resignation does not meet ACRA's test and the director stays on record.

Can a director be removed instead of resigning?

Yes, but removal is a different process. ACRA's pages we read cover resignation and automatic disqualification, not the removal route. The removal rules depend on the Companies Act and the company constitution, so ask a lawyer or corporate secretary before you start. The filing at the end is the same withdrawal on Bizfile.

What about disqualification?

A different set of rules applies when a director is disqualified. ACRA says the director must tell the company within 14 days, with a fine of up to S$1,000, and the company must tell ACRA within 14 days, with a fine of up to S$5,000. That is not a resignation, but the filing clock is the same.
